Merchant of record

The merchant of record is the legal entity that sells to the end customer, appears on the card statement, and carries the refund and chargeback liability. In a dropship arrangement that is the brand running the storefront, not the warehouse that ships the parcel.

What the title actually carries

Being merchant of record means four things land on you: the payment relationship with the processor, the sales tax obligation where you have one, the refund policy and the money to honour it, and every chargeback a customer files. Your fulfillment partner ships the parcel; none of that list moves to them because they did.

It also decides what the customer sees on their statement, which is a bigger deal than it sounds. A descriptor the customer does not recognise is one of the most common causes of a dispute filed in genuine confusion rather than bad faith. Set the descriptor to the brand name on the storefront, not to your holding company.

The upside is the other side of the same coin: you own the customer. The list, the repeat purchase, and the brand equity are yours because the transaction was yours.
